Overview:
This course will provide an introduction to the key duties and responsibilities of a company secretary of a private limited company, including initial considerations on incorporation together with the daily and annual requirements a company secretary is required to address.
The course will be useful to company secretaries of private companies, trainee/junior solicitors and accountants involved in corporate or company secretarial work. It will also benefit anyone who requires a practical awareness of current company legislation and how it impacts on the day to day running of a private limited company.
Learning Outcomes:
On completion of this course, you will have a greater understanding of the key actions a company secretary is required to take in relation to:
- Incorporation
- Initial considerations, including:
- Contents/implications of the Memorandum of Association
- Choice of Articles of Association
- Registered office/Single Alternative Inspection Location
- Appointment of Directors
- Choice of name
- Day to day running of a company, including:
- Board meetings
- General meetings
- Maintenance of statutory registers and records (including PSC register).
- Annual company events, including:
- Accounts
- Confirmation Statement
- Annual General Meeting (if required).
